Business Description
Consultants provide services related to the identification, acquisition, holding, improvement, and disposition of portfolio companies, including operational aspects. These "Consultant Services" may also include "front office" functions like sourcing or other investment-related functions, serving in management or policy-making positions for portfolio companies, high-level insight, or extensive day-to-day roles. They may support the General Partner or portfolio companies regarding management, supply chain, data intelligence, finance, human capital management, information technology, cybersecurity, corporate communications, customer service, sustainability, real estate matters, and similar operational matters.
Vista seeks to retain consultants to reduce costs to portfolio companies and the Funds, structuring compensation to align their interests with the Funds’ Limited Partners. However, there's no guarantee of cost savings or that another service provider isn't more qualified or less expensive. Some consultants may have exclusive service agreements with the Funds and/or portfolio companies and may be offered co-investment opportunities.
Investment Strategy
The primary investment strategy involves investing alongside one or more Vista Funds, which limits the universe of investment opportunities. This concentration can create risks, as the Fund may not have access to investments better suited for certain economic climates. Investors are advised to maintain a diversified portfolio due to the limited number of investments a Fund will participate in, making it vulnerable to the unfavorable performance of any single investment.
While the General Partner intends to seek attractive returns through the described investment strategy, they are permitted to pursue additional strategies, modify their initial approach, or depart from investment techniques if deemed appropriate and consistent with the Governing Documents. A General Partner can also pursue investments outside of Vista's previous industries, sectors, or internal operational experience. Investment opportunities are allocated on a non-pro rata basis, and there is no guarantee that a Vista Fund will participate in all investment opportunities.
